These Terms of Service and Distribution Agreement (“Terms”) govern your access to and use of the KADOTS website, platform, artist and label dashboards, music distribution services, catalogue management services, payment services, and related products operated by Resemble Media Studio LLP (“KADOTS”, “we”, “us”, or “our”).
By creating an account, submitting content, purchasing a service, accepting an agreement, or submitting music for distribution through KADOTS, you (“Artist”, “Label”, “Rights Holder”, “you”, or “your”) agree to these Terms.
If you do not agree to these Terms, you must not use the KADOTS distribution services.
1. About KADOTS

- artist and label account management;
- royalty and earnings reporting;
- payment and payout administration;
- rights administration;
- content identification and monetisation services;

- related technology and support services.
KADOTS may use third-party distribution partners, digital service providers, rights-management companies, payment providers, technology providers, and other service providers to perform these services.
2. Eligibility and Account Registration
You must provide accurate, complete and current information when creating a KADOTS account.
You may not:
- create an account using false information;
- impersonate another person or entity;
- submit music on behalf of another person without authority;
- provide misleading ownership or rights information;
- share your account credentials with unauthorised persons;
- use KADOTS for unlawful activity.
Where KADOTS requires identity, business, tax, payment, or KYC verification, you must provide the requested information before the relevant service or payment can be activated.
KADOTS may restrict, suspend, or refuse an account where information cannot be reasonably verified.
3. Artist and Label Representations
By submitting music or other content to KADOTS, you represent and warrant that:
- you are the owner of, or are legally authorised to administer, the rights necessary to submit the content;
- you have obtained all required permissions, licences, consents and releases from relevant rights holders;
- the content does not knowingly infringe another person’s copyright, trademark, publicity, privacy, performer, moral, contractual, or other rights;
- all artist, songwriter, composer, producer, performer and contributor information supplied to KADOTS is accurate;
- all ownership and royalty information supplied to KADOTS is accurate;
- you have authority to enter into these Terms;
- you are not submitting content that has been exclusively licensed to another distributor or rights administrator where such submission would breach that arrangement;
- any samples, interpolations, beats, loops, vocals, compositions, artwork or other third-party material included in the release have been properly cleared;
- the content does not contain unlawful material;
- you will not knowingly submit fraudulent streams, artificial engagement, manipulated plays, bot-generated activity, or other artificial traffic;
- you will promptly notify KADOTS if any representation or warranty becomes inaccurate.
You remain responsible for obtaining permissions from collaborators, co-writers, producers, performers, labels, publishers and other relevant rights holders.
4. Distribution Rights Granted to KADOTS
When you submit content for distribution, you grant KADOTS, during the applicable distribution period, a non-exclusive licence and authorisation, unless a separate written agreement expressly states otherwise, to:
- reproduce the submitted sound recordings and associated artwork;
- encode, convert, store and technically modify files as reasonably necessary for distribution;
- distribute and make the content available through digital platforms and services;
- communicate the content to the public through authorised distribution channels;
- transmit metadata and other information necessary to identify and administer the content;
- administer applicable digital rights and monetisation services;
- collect revenues generated through the authorised distribution of the content;
- use artist name, release title, artwork and related metadata for identification, distribution, catalogue administration and service-related purposes;
- deliver the content to third-party digital service providers and distribution partners;
- perform other technical or administrative acts reasonably necessary to provide the contracted distribution service.
This licence does not transfer ownership of your copyright to KADOTS.
Unless separately agreed in writing, you retain ownership of the rights you own in your music and other submitted content.
KADOTS receives only the rights reasonably necessary to provide the services described in these Terms and any separately accepted distribution agreement.
5. Distribution Territory
Unless your individual distribution agreement states otherwise, distribution may be worldwide.
You may request territorial restrictions where supported by the applicable distribution service.
Certain third-party platforms, rights societies, payment systems, or distribution partners may have their own territorial limitations.
KADOTS cannot guarantee availability of every service in every territory.
6. Distribution Partners and Platforms
KADOTS may distribute content through third-party digital service providers and distribution partners.
These may include music streaming services, download services, social-media platforms, content-identification services, rights-management services and other digital platforms.
KADOTS does not control the independent policies, algorithms, editorial decisions, availability, pricing, content policies, or technical requirements of third-party platforms.
A third-party platform may:
- reject a release;
- delay delivery;
- remove content;
- restrict a territory;
- change its policies;
- disable monetisation;
- remove content because of a rights complaint;
- suspend an account;
- modify its service.
Such actions do not necessarily constitute a breach by KADOTS.
7. Release Acceptance and Quality Control
KADOTS may review submitted content before distribution.
KADOTS may reject, hold, delay, request changes to, or remove a release where:
- metadata is incomplete or inaccurate;
- ownership cannot be reasonably verified;
- required documentation is missing;
- audio or artwork does not meet technical requirements;
- the content appears to infringe third-party rights;
- the release contains fraudulent or manipulated activity;
- the release violates a third-party platform’s requirements;
- the content violates applicable law;
- the account or submission presents security, fraud, compliance, or legal concerns.
Approval by KADOTS does not constitute a legal determination that you own the underlying rights.
8. Pricing and Service Fees
KADOTS may charge fees for distribution, subscriptions, releases, promotional services, administration, or other services.
Applicable pricing will be displayed on the relevant KADOTS pricing page, checkout page, dashboard, invoice, order confirmation, or individual agreement.
Unless expressly stated otherwise:
- fees must be paid before the applicable paid service is activated;
- third-party payment processing fees may apply;
- taxes may be charged where applicable;
- promotional pricing may be subject to separate conditions;
- prices may change for future orders or renewal periods.
Where a specific distribution agreement specifies different commercial terms, that agreement will govern those specific terms.
Distribution Fees
Current distribution pricing: check www.kadots.resemblemedia.com/pricing
Platform/service commission/Split, if applicable: KADOTS will take 20% as a commission for distribution services as default charge. Otherwise commission depends on the plan or mutual agreements.
Other applicable fees: Marketing and other benefits taken by licensee, with written approval.
KADOTS will not deduct a fee that has not been disclosed through the applicable pricing, order, or contractual terms, except for taxes, legally required deductions, payment-processing charges, chargebacks, refunds, or other amounts expressly permitted by these Terms.
9. Payments and Payment Verification
Payments made to KADOTS must be made through the payment methods made available by KADOTS.
KADOTS may use third-party payment processors.
For security and fraud-prevention purposes, KADOTS may verify:
- payer identity;
- transaction information;
- account ownership;
- payment status;
- payment reference;
- KYC information;
- bank or payout information.
KADOTS may delay activation of a service or payment where a transaction is pending, reversed, disputed, suspected to be fraudulent, or otherwise cannot be verified.
Users must not attempt to manipulate payment confirmations, payment references, screenshots, transaction records, or payment status.
A payment is considered received only when confirmed through KADOTS’s designated payment system or payment processor.
10. Earnings and Accounting
Where KADOTS receives revenue on your behalf from distribution or monetisation services, the amount credited to your account may be subject to:
- the applicable distribution commission or service fee;
- third-party deductions;
- platform deductions;
- refunds;
- chargebacks;
- taxes or statutory deductions;
- currency conversion;
- payment-processing costs where applicable;
- adjustments resulting from fraudulent, artificial, reversed, or invalid activity.
KADOTS may display estimated earnings before final reconciliation.
Amounts shown as estimated, pending, processing, or provisional are not necessarily final payable amounts.
Final earnings may be adjusted after KADOTS receives and reconciles reports from distribution partners or platforms.
11. Royalty and Earnings Statements
Where royalty or earnings reporting is provided, KADOTS may provide statements through the user dashboard or another designated method like raw reports via email.
Statements may include information such as:
- platform;
- territory;
- release;
- track;
- reporting period;
- units or streams;
- gross revenue;
- deductions;
- net payable revenue.
Reporting periods depend on information received from KADOTS’s distribution partners.
There may be a delay between activity occurring on a third-party platform and the corresponding information becoming available through KADOTS.
KADOTS is not responsible for delays in reporting caused by third-party platforms or distribution partners.
12. Negative Balances and Adjustments
KADOTS may adjust an account balance where:
- a third-party platform reverses previously reported revenue;
- fraudulent or artificial activity is identified;
- a payment is refunded or charged back;
- a reporting error is identified;
- revenue was incorrectly credited;
- a contractual deduction applies;
- a legal or rights-related adjustment is required.
Where an adjustment results in a negative balance, KADOTS may offset that amount against future amounts payable to the account, subject to applicable law and contractual rights.
13. Withdrawals and Minimum Payout
Users may request withdrawal of eligible cleared funds once the account meets the applicable minimum payout threshold.
Minimum withdrawal amount: ₹25000
Payment cycle: QUATERLY OR MONTHLY DEPENDING ON SEPRATE CONTRACTS OR PLAN
Processing period: 30 DAYS
Funds marked as pending, disputed, under review, or otherwise uncleared are not eligible for withdrawal until released for payment.
KADOTS may require successful KYC and payment verification before processing withdrawals.
The payout account must belong to the verified user or authorised business entity, unless KADOTS expressly approves an alternative arrangement.
KADOTS may withhold or delay a payout where reasonably necessary to investigate:
- fraud;
- artificial streams;
- copyright disputes;
- ownership disputes;
- payment fraud;
- chargebacks;
- inaccurate KYC information;
- sanctions or legal restrictions;
- other material violations of these Terms.
14. Taxes
Users are responsible for their own tax obligations arising from payments or income received through KADOTS, except for taxes that KADOTS is legally required to collect, deduct, withhold, or remit.
KADOTS may request tax information where required.
Where applicable, KADOTS may make statutory deductions and provide relevant documentation.
15. Takedown Requests
You may request removal of your content from distribution by submitting a takedown request through the KADOTS platform or designated support channel.
A takedown request should identify:
- account holder;
- release;
- track(s);
- catalogue or release identifier where available;
- reason for takedown;
- requested territory, if applicable.
KADOTS will communicate the takedown request to the relevant distribution partner(s) where appropriate.
Because KADOTS relies on third-party platforms, removal may not occur immediately.
KADOTS does not guarantee a specific removal time where the final removal is controlled by a third-party platform.
Rights-Related Takedowns
KADOTS may immediately restrict, suspend, or remove content where there is a credible rights complaint, legal requirement, platform notice, ownership dispute, fraud concern, or other material risk.
KADOTS may temporarily hold associated earnings where reasonably necessary to protect the rights of the relevant parties or complete an investigation.
16. Reinstatement
Where content has been removed because of a rights complaint, platform action, or other dispute, KADOTS may require satisfactory evidence before reinstating it.
Evidence may include:
- licence agreements;
- assignment documents;
- permissions;
- ownership records;
- settlement documentation;
- counter-notices;
- court orders;
- written confirmation from the complaining rights holder.
KADOTS is not required to reinstate content where it reasonably determines that reinstatement would create legal, contractual, platform-policy, or security risks.
17. Copyright and Intellectual Property Complaints
KADOTS respects copyright and expects users to submit only content they are legally authorised to distribute.
If you believe content distributed through KADOTS infringes your copyright or other applicable rights, you may submit a copyright complaint to:
Copyright / Rights Complaints: COPYRIGHT@RESEMBLEMEDIA.COM
A complaint should include sufficient information to identify:
- the complainant;
- the copyrighted work or right allegedly infringed;
- the specific KADOTS release or content concerned;
- the basis on which the complainant claims ownership or authority;
- the location or relevant identifiers of the allegedly infringing content;
- contact information;
- a statement that the information supplied is accurate to the best of the complainant’s knowledge;
- supporting documentation where available.
KADOTS may forward relevant information to the affected account holder or distribution partner where reasonably necessary to investigate and resolve the complaint.
Where appropriate, KADOTS may:
- temporarily restrict distribution;
- disable or request removal of content;
- hold affected earnings;
- request supporting documentation;
- contact relevant rights holders;
- seek clarification from the submitting user;
- restore content where the dispute is satisfactorily resolved.
Nothing in this section limits any statutory rights or remedies available under applicable copyright law.
The Indian Copyright Act, 1957 contains provisions addressing infringement and the exclusive rights of copyright owners.
18. Counter-Claims and Disputed Copyright Complaints
If content is removed following a copyright complaint and you believe the removal was incorrect, you may contact KADOTS with:
- identification of the affected content;
- an explanation of your rights;
- supporting ownership or licence documents;
- relevant communications from the rights holder;
- any other evidence supporting your position.
KADOTS may review the information and, where appropriate, request the parties to resolve the dispute directly or provide additional evidence.
KADOTS may decline to restore content where ownership remains materially disputed or where a third-party platform has independently required removal.
Nothing in this process prevents either party from pursuing remedies available under applicable law.
19. Artificial Streaming and Fraud
You must not use or arrange:
- bots;
- automated streams;
- click farms;
- stream manipulation;
- paid artificial engagement;
- fraudulent playlists;
- deceptive promotional services;
- fake accounts;
- other artificial methods intended to generate revenue, streams, views, downloads, or engagement.
If KADOTS receives evidence or a credible report of artificial activity, KADOTS may:
- suspend distribution;
- remove affected releases;
- hold related earnings;
- adjust account balances;
- terminate the account;
- cooperate with relevant distribution partners or platforms.
Third-party platforms may independently identify and penalise artificial activity.
KADOTS does not guarantee that any release will achieve a particular number of streams, listeners, views, followers, revenue, playlist placements, or other performance outcome.
20. Account Suspension and Termination
KADOTS may suspend or terminate an account where reasonably necessary because of:
- material breach of these Terms;
- copyright or ownership concerns;
- fraudulent activity;
- artificial streaming;
- payment fraud;
- inaccurate KYC or account information;
- unlawful activity;
- repeated platform violations;
- misuse of KADOTS systems;
- security concerns;
- instructions or restrictions imposed by a distribution partner or competent authority.
Where reasonably practicable, KADOTS may provide notice and an opportunity to address the relevant issue.
However, immediate action may be taken where delay could create legal, financial, security, copyright, fraud, or platform-policy risks.
21. Effect of Termination
Termination of an account does not automatically extinguish rights or obligations that accrued before termination.
Depending on the circumstances:
- outstanding eligible earnings may remain payable after reconciliation;
- unresolved disputes may continue to be investigated;
- contractual obligations may survive;
- required accounting and tax records may be retained;
- distribution may be terminated or content may be removed from relevant platforms.
Where content remains available through third-party platforms after a takedown request, removal is subject to the third party’s processing timelines.
22. Platform Availability
KADOTS will use reasonable efforts to maintain availability of its services.
However, KADOTS does not guarantee uninterrupted or error-free operation.
Services may be temporarily unavailable because of:
- maintenance;
- security incidents;
- technical failures;
- hosting problems;
- internet or telecommunications failures;
- third-party platform outages;
- payment-provider outages;
- distribution-partner issues;
- circumstances beyond KADOTS’s reasonable control.
23. No Guarantee of Commercial Results
KADOTS does not guarantee:
- a minimum number of streams;
- playlist placement;
- editorial consideration;
- viral performance;
- revenue;
- audience growth;
- chart placement;
- social-media growth;
- platform approval;
- a specific release date where third-party approval is required.
Distribution is a service for making content available through applicable channels and does not guarantee commercial success.
24. Third-Party Services
KADOTS may integrate with or rely on third-party services.
Those services may have separate:
- terms;
- privacy policies;
- technical requirements;
- payment rules;
- content policies;
- copyright procedures.
Your use of third-party services is subject to their applicable terms.
KADOTS is not responsible for changes made independently by third-party platforms.
25. Limitation of Liability
To the maximum extent permitted by applicable law, KADOTS will not be liable for indirect, incidental, consequential, special, exemplary, or punitive losses arising from:
- third-party platform decisions;
- platform outages;
- loss of streams or audience;
- algorithm changes;
- delayed reporting;
- delayed distribution;
- rejected releases;
- third-party takedowns;
- unauthorised acts by third parties;
- events outside KADOTS’s reasonable control.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited under applicable law.
26. Indemnification
You agree to indemnify and hold harmless KADOTS, Resemble Media Studio LLP, and their respective officers, employees, contractors, and service providers from claims, losses, liabilities, costs, and reasonable expenses arising from:
- your breach of these Terms;
- your breach of a representation or warranty;
- copyright or ownership claims relating to your content;
- infringement of third-party rights;
- fraudulent or artificial activity associated with your account;
- inaccurate information supplied by you;
- unlawful use of KADOTS services.
This provision applies subject to applicable law.
27. Disputes Between Rights Holders
KADOTS is not a court or copyright tribunal and does not guarantee that it can conclusively determine ownership where competing parties assert conflicting rights.
Where a material ownership dispute exists, KADOTS may temporarily suspend distribution or hold affected earnings until:
- the parties reach a documented resolution;
- sufficient evidence is provided;
- a competent court or authority issues an applicable order; or
- KADOTS otherwise determines that the dispute has been adequately resolved.
28. Dispute Resolution
Before commencing formal legal proceedings, the parties should first attempt to resolve a dispute through good-faith communication.
A dispute notice should be sent to:
Dispute Resolution Contact: LEGAL@RESEMBLEMEDIA.COM
The notice should describe the issue, relevant account/release information, and the resolution sought.
The parties will attempt to resolve the dispute within 15 days from receipt of the dispute notice, unless urgent legal relief is required.
Nothing prevents either party from seeking urgent interim or injunctive relief from a competent court where necessary.
29. Governing Law
These Terms shall be governed by and interpreted in accordance with the laws of India.
Subject to any mandatory rights available under applicable law, disputes arising from these Terms shall be subject to the jurisdiction of the courts specified below.
Jurisdiction: [INSERT CITY, STATE, INDIA]
For example, if the registered office and intended forum are Delhi, this may be stated as:
“The courts at New Delhi, India shall have exclusive jurisdiction over disputes arising out of or relating to these Terms, subject to applicable law.”
30. Changes to These Terms
KADOTS may update these Terms from time to time.
Changes may be made to reflect:
- changes to KADOTS services;
- changes in distribution partners;
- changes in applicable law;
- changes in pricing;
- security requirements;
- operational requirements.
The updated Terms will be published on the KADOTS website with an updated “Last Updated” date.
Where a material change affects an existing contractual relationship, KADOTS may provide additional notice where reasonably appropriate or required by law.
31. Electronic Acceptance
You may accept these Terms electronically through the KADOTS platform.
Electronic acceptance, account registration, release submission, payment, or use of the applicable service may constitute acceptance of these Terms to the extent permitted by applicable law.
Where a separate Distribution Agreement, Label Agreement, Order Form, or other written agreement is executed, that document may contain additional or different commercial terms.
In the event of a conflict:
- the specific signed Distribution Agreement will govern the subject matter specifically covered by it;
- the applicable Order Form or commercial schedule will govern specific pricing or service terms;
- these Terms will govern matters not specifically addressed by those documents.
32. Severability
If any provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision will be interpreted or modified to the extent necessary to make it enforceable where legally permissible.
The remaining provisions will continue in effect.
33. No Waiver
Failure by KADOTS to enforce any provision of these Terms does not constitute a waiver of its right to enforce that provision later.
34. Entire Agreement
These Terms, together with any applicable Distribution Agreement, Order Form, pricing schedule, service-specific terms, and other documents expressly incorporated by reference, constitute the agreement between you and KADOTS regarding the relevant services.
